Terms of Service

1. Nature of Our Service

We act as a sourcing and procurement service provider. We identify, verify and coordinate with manufacturers in China on your behalf, arrange samples and inspection, and coordinate logistics. Unless expressly agreed in writing for a specific order, we act as your agent and facilitator rather than as the manufacturer of the goods.

Goods are produced by independent third-party factories. We select and audit suppliers with reasonable care and skill, but we do not manufacture the products ourselves.

2. Quotations and Pricing

• Quotations are indicative and based on the specifications, quantities and materials you supply at the time of enquiry.
• Prices are subject to change where raw material costs, exchange rates, specifications, quantities or freight rates change.
• Unless stated otherwise, quotations exclude import duties, taxes, customs clearance charges and destination-country fees.
• A quotation does not constitute a binding contract until confirmed in a written order acceptance or proforma invoice.

3. Orders, Samples and Specifications

• You are responsible for providing complete and accurate specifications, drawings, size charts, tolerances and applicable standards.
• Where a pre-production or golden sample is approved, that sample becomes the reference standard for the order.
• Minor variations in colour, dimensions, weight and finish are inherent in manufacturing. Reasonable commercial tolerances apply unless specific tolerances are agreed in writing.
• Changes requested after production has commenced may incur additional cost and delay.

4. Payment

Payment terms, deposit amounts, balance timing and accepted payment methods are agreed for each order and confirmed in writing in the applicable quotation, proforma invoice or order confirmation. Production is normally scheduled only after cleared receipt of the agreed deposit. Bank charges and currency conversion costs are borne by the paying party unless agreed otherwise.

Payment security. We will never ask you to send payment to a personal account or to an account other than the one shown on your official invoice. If you receive payment instructions that differ from your invoice, or that arrive by email requesting an urgent change of bank details, stop and verify directly with us by telephone before transferring any funds.

5. Inspection and Quality

• Inspection is carried out against the agreed specification, approved sample and inspection standard for the order.
• Inspection is performed on a sampling basis in line with normal industry practice unless full inspection is specifically agreed and paid for.
• Sampling inspection reduces risk but cannot guarantee that every individual unit is free from defect.
• Inspection reports, including photographs, are issued before dispatch where inspection forms part of the agreed scope.
• Claims relating to quality should be raised promptly on receipt, with supporting photographs and a description of the defect, so that the matter can be taken up with the factory.

6. Product Compliance and Certification

You are the importer of record unless agreed otherwise. As importer you are responsible for ensuring the goods may lawfully be imported into and sold in your destination market.

Where certification or testing forms part of the agreed scope, we will obtain and verify documentation such as CE, UKCA, FCC, RoHS, REACH, EN and other applicable reports. We verify that documentation is current and matches the product supplied. We do not, however, warrant that goods meet regulatory requirements which were not identified to us in writing before production.

7. Shipping, Delivery and Risk

• Delivery terms follow the Incoterms rule agreed for each order, such as EXW, FOB, CIF or DDP.
• Risk and title pass in accordance with the agreed Incoterms rule.
• Delivery dates are estimates given in good faith. Production and transit times may be affected by factory scheduling, raw material availability, public holidays, port congestion, customs inspection and carrier delays.
• Where goods containing lithium batteries or other regulated items are shipped, correct declaration and packing are required and may affect available shipping methods.
• Import duties, VAT, customs clearance and destination charges are payable by you unless a DDP arrangement is expressly agreed.

8. Intellectual Property

• You warrant that any designs, trademarks, logos or artwork you supply are owned by you or that you hold the necessary rights to use them.
• You agree to indemnify us against claims arising from infringement of third-party intellectual property rights in materials you supply.
• We do not knowingly source counterfeit, replica or infringing goods and will decline any such request.
• Website content, including text, layout and graphics on chinawholesalehub.com, remains our property or that of our licensors.

9. Prohibited and Restricted Goods

We will not source goods that are illegal to manufacture, export or import, including counterfeit goods, weapons, controlled substances, and items subject to applicable sanctions or export controls. We reserve the right to decline or cancel any enquiry or order on these grounds.

10. Cancellation, Returns and Refunds

• Custom-manufactured goods are produced to your specification and generally cannot be cancelled once production has commenced, or returned other than for defect or non-conformity.
• Where cancellation is accepted, costs already incurred for materials, tooling, production and freight remain payable.
• Tooling and mould charges are non-refundable once tooling has been produced.
• Refunds, replacements or credits for defective or non-conforming goods are handled case by case and depend on the outcome of discussion with the factory and any applicable inspection evidence.

11. Limitation of Liability

Nothing in these terms excludes or limits liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for any liability which cannot lawfully be excluded.

Subject to the above, and to the maximum extent permitted by applicable law:

• We are not liable for indirect or consequential loss, including loss of profit, loss of contracts, loss of anticipated savings or reputational loss.
• Our total aggregate liability in connection with any order shall not exceed the value of the service fees we received in respect of that order.
• We are not liable for delay or failure to perform caused by events beyond our reasonable control, including natural disaster, epidemic, war, civil unrest, government action, port closure, strike, power or network failure.

12. Confidentiality

We treat your product specifications, designs, pricing and commercial information as confidential and disclose them to suppliers only to the extent necessary to obtain quotations and complete your order. If you require a separate non-disclosure agreement, please tell us before sharing sensitive designs.

13. Website Use

Website content is provided for general information. Regional manufacturing information, regulatory references and guidance published on this site are provided in good faith but do not constitute legal, regulatory or professional advice. You should verify current requirements for your own market before importing. You agree not to misuse the website, attempt unauthorised access, or use automated systems to extract content at scale.

14. Privacy

Our handling of personal information is described in our Privacy Policy, which forms part of these terms.

15. Governing Law and Disputes

The governing law and jurisdiction applicable to a particular transaction are those stated in the order confirmation, proforma invoice or separate written agreement for that order. Where no such provision is stated, the parties agree to first seek resolution of any dispute through good-faith negotiation before commencing formal proceedings.

16. Changes to These Terms

We may update these terms from time to time. The version in force at the time your order is confirmed is the version that applies to that order. The date at the top of this page indicates the most recent revision.
